Job Purpose:
This role is responsible for managing the full spectrum of corporate secretarial functions for the Group’s local and foreign subsidiaries, ensuring consistent compliance with the Companies Act 2016, SSM requirements, and applicable foreign jurisdiction regulations. The position supports the governance and operational needs of subsidiary boards, maintains statutory records, prepares required filings and resolutions, and coordinates with internal departments and external agents to ensure timely and accurate submissions. The role also provides assistance for selected PLC matters, contributing to strong corporate governance and effective compliance across the Group.
Key Accountabilities:
- Manage full corporate secretarial functions for local and foreign subsidiaries, ensuring compliance with the Companies Act 2016 and relevant foreign laws.
- Prepare, review, and file statutory documents, annual returns, and other required submissions for all subsidiaries.
- Maintain and update statutory registers, minutes books, and corporate records for subsidiary entities.
- Draft, review, and coordinate directors’ and shareholders’ resolutions for subsidiaries.
- Organise and support subsidiary Board and shareholder meetings, including notices, papers, minutes, and follow-up actions.
- Liaise with external corporate secretarial agents, service providers, and regulators to ensure timely and accurate deliverables.
- Monitor and track compliance deadlines and ensure all group entities meet statutory and governance requirements.
- Assist in onboarding, incorporation, dissolution, and restructuring exercises involving subsidiaries.
- Support due diligence and information requests related to audits, regulatory reviews, and corporate exercises.
- Coordinate with internal stakeholders (legal, finance, tax, operations) on corporate information and documentation for subsidiaries.
Qualifications / Certifications:
- Bachelor’s Degree in Corporate Administration, Business Administration, or related field.
- Professional certification or partial qualification in MAICSA or equivalent is an added advantage.
- Strong understanding of corporate secretarial practices, governance processes, and administrative operations
Relevant Experience:
Minimum 3–5 years of corporate secretarial experience, preferably in a public-listed company or a group with multiple local and foreign subsidiaries. Experienced in managing statutory compliance, preparing filings and resolutions, maintaining registers, and coordinating Board and shareholder meetings. Familiar with Companies Act 2016, SSM requirements, and common foreign jurisdiction compliance processes. Exposure to corporate exercises, liaising with regulators, auditors, and internal stakeholders, as well as supporting PLC-level governance and Bursa submissions company is an advantage.
Required Skills:
- Strong knowledge of Companies Act 2016, SSM regulations, Bursa Listing Requirements, and MCCG principles.
- Experience managing statutory compliance, filings, resolutions, and registers for local and foreign subsidiaries.
- Proficiency in preparing and managing Board and shareholder meeting documents (agendas, papers, notices, minutes).
- Excellent written and verbal communication skills.
- High attention to detail and accuracy in documentation and filings.
- Proficiency in MS Office, document management systems, and corporate secretarial software (if any).
