Job Overview

To support the Group Corporate Secretarial Department in ensuring the Group’s compliance with statutory, regulatory, and corporate governance requirements. The role oversees corporate governance matters for the listed company and its group of entities, prepares Board and management papers, supports corporate exercises and transactions, manages regulatory filings, disclosures, and statutory records, and ensures timely and accurate compliance from a corporate secretarial perspective.

 

Key Accountabilities 

 

 A.  Corporate Governance and Board Support

  • Provide support to the Senior Manager and/or Head, Corporate Secretarial  in advising the Board and Board Committees on corporate governance requirements, statutory obligations, and best practices.
  • Assist in planning and coordinating Board evaluations, directors’ training, fit and proper assessments, assist in identifying and recommending relevant training programs for ongoing directors’ development and other corporate exercises, as and when required.

 

B. Statutory & Regulatory Compliance

  • Assist in ensuring compliance with the Companies Act 2016, Bursa Malaysia Listing Requirements, and other applicable laws, regulations, and guidelines.
  • Maintain and update statutory registers, records, and minute books for the Company.
  • Assist in the timely preparation and lodgement of statutory filings, disclosures, and annual returns with the relevant regulatory authorities.
  • Safeguard and manage corporate seals, share certificates, and other corporate instruments.

 

C.  Board, Shareholder and Regulatory Communications

  • Assist in managing communications with major shareholders, regulators, and other relevant authorities on governance, disclosure, and statutory compliance matters.
  • Assist in the preparation  and release of corporate announcements and disclosures to Bursa Malaysia Securities Berhad.
  • Coordinate and provide operational support for the conduct of general meetings of shareholders (AGMs/EGMs) in compliance with the Companies Act 2016, Bursa Malaysia Listing Requirements, and the Company’s Constitution.

 

D.  Records Management & Confidentiality

  • Ensure proper classification, storage, retention, and disposal of records in line with governance, confidentiality, and data protection requirements.

 

Qualifications / Certifications:

  • Bachelor’s Degree in Corporate Administration, Business Administration, or related field.
  • Professional certification or partial qualification in MAICSA or equivalent is an added advantage.
  • Strong understanding of corporate secretarial practices, governance processes, and administrative operations

 

Relevant Experience:

  • Minimum 5–7 years of experience in corporate secretarial, governance coordination, or related corporate support functions. Familiarity with Bursa Malaysia Listing Requirements as well as experience in Public Listed Company is an advantage.
